Terms of Service

1. Agreement

These Terms of Service ("Terms") form a legal agreement between you and DEMUS LLC ("DEMUS," "we," "us," or "our"), a Washington State limited liability company. By using our website at demus.ai, our software platform at app.demus.ai, or any of our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. What We Do

DEMUS provides lead-generation and marketing-automation services to home service businesses, including the operation of advertising campaigns on Meta platforms, automated qualification of incoming leads, and delivery of qualified leads to our clients. We also operate software tools to support these services.

3. Eligibility

You must be at least 18 years old and legally able to enter into a contract to use our services. If you use the service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

4. Accounts

If you create an account, you are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us immediately at nikolai@demus.ai if you suspect unauthorized access.

5. Lead-Generation Services

5.1 Engagement

DEMUS's lead-generation services are provided pursuant to a separate written or electronic agreement with each business client, which specifies the per-lead price, qualification criteria, payment terms, and dispute resolution process. These Terms apply in addition to any such agreement; in the event of a conflict, the separate agreement controls.

5.2 Lead Quality

We use automated and human review to qualify leads before delivering them. We do not guarantee that any specific lead will convert to a paying customer, and lead quality may vary. Clients may dispute leads in accordance with the dispute process set out in their separate agreement.

5.3 Ad Spend

Where DEMUS fronts advertising spend on behalf of a client, that arrangement is governed by the separate client agreement. Clients agree to reimburse DEMUS for advertising costs pursuant to the payment terms in that agreement.

6. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable law or regulation.
• Interfere with or disrupt our services, servers, or networks.
• Attempt to gain unauthorized access to our systems or to other users' accounts.
• Use our services to send spam, malware, or other harmful content.
• Use our services to discriminate against any person or class of persons in violation of applicable law.
• Reverse-engineer, decompile, or attempt to extract the source code of our software, except to the extent expressly permitted by applicable law.

7. Intellectual Property

DEMUS retains all rights, title, and interest in our software, platform, content, branding, and any improvements or derivative works thereof. You retain ownership of any content you submit to us (such as photos or business information), but you grant DEMUS a worldwide, non-exclusive, royalty-free license to use, reproduce, and display that content as necessary to provide the services.

8. Termination

Either party may terminate the engagement in accordance with the terms of any separate client agreement, or, where no such agreement exists, by providing written notice. We may suspend or terminate your access immediately if you breach these Terms, engage in conduct that may harm DEMUS or other users, or if required by law.

9. Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that any specific results will be achieved.

10. Limitation of Liability

To the maximum extent permitted by law, DEMUS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with these Terms or our services. Our total liability to you for any claim arising out of or in connection with these Terms or our services shall not exceed the amount you paid to us in the twelve months preceding the claim, or $1,000, whichever is greater.

11. Indemnification

You agree to indemnify and hold DEMUS, its officers, members, employees, and agents harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the services, your violation of these Terms, or your violation of any third-party rights or applicable law.

12. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or our services shall be resolved exclusively in the state or federal courts located in Clark County, Washington, and you consent to the jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. Continued use of the services after a change constitutes acceptance of the updated Terms. For material changes, we will provide additional notice such as an email or in-app notification.
